1. Acceptance of Terms: By utilizing the services of the Contractor, or by allowing the Provider to perform clinical operations, the Facility agrees to be bound by all terms, rates, and penalty schedules. The commencement of clinical access constitutes full legal acceptance.
2. Definitions:
Contractor: 3D Implant Dental Care PLLC dba Showing All 32
Facility: The entity requesting services and responsible for all financial obligations.
Provider: The licensed clinician performing services.
3. Rates and Precision Billing:
Daily Service Minimums│ The Facility agrees to a guaranteed daily minimum based on the scheduled service tier:
Tier 1 (Hygiene Supervision): $999.00 Daily Minimum.
Tier 2 (Hygiene & Operative): $1,399.00 Daily Minimum.
Tier 3 (Advanced Surgical/Endo): $1,999.00 Daily Minimum.
Greater-Of Rule: The Facility shall pay the greater of: (a) the applicable Tier Minimum, or (b) 40% of Gross Production generated by the Contractor.
Mobilization Fee: A flat $500.00 fee is earned immediately upon arrival to cover transport and sterilization. This fee is non-refundable and is credited toward the Daily Minimum.
Billing Increments: All time is tracked in 1-minute increments at a rate of $249.99/hour.
4. Payment Terms ("Pay-Before-You-Play"):
Settlement: To maintain focus on patient care, all service fees (including the Daily Minimum) must be settled prior to the commencement of treatment on the day of service.
Late Fees: Payments not received within one (1) business day shall accrue interest at 1.5% per month (18% per annum) plus all administrative costs and collection fees.
Breach: Failure to remit payment allows the Contractor to immediately suspend services and pursue legal remedies, including recovery of attorney fees.
5. Operational Autonomy & Clinical Compliance:
Autonomy: The Provider maintains exclusive control over clinical decision-making.
Compliance: The Provider and Facility agree to adhere to 22 TAC §108.5, §110.3, and §110.4. The Provider shall remain in the operatory as required by law and shall not leave the facility until the patient meets all discharge criteria.
Prohibition of Hour Caps: The Facility shall not impose arbitrary "hour caps" or "early-release mandates." If the Facility dismisses the Provider prematurely, the Facility remains liable for the full duration of the originally scheduled clinical block.
6. Audit & Transparency:
Records Access: The Contractor has the right to review day-end production reports (including office management software reports) related to services performed. Failure to provide records within one (1) business day constitutes a material breach.
7. Administrative Recovery & Penalties:
Reconciliation Fee: Any unauthorized deduction, "hour cap," or manual adjustment by the Facility triggers a $100.00 audit fee per invoice.
Collection Costs: The Facility is liable for all third-party costs incurred to collect overdue balances, including court filing fees, process server fees, and private investigator fees.
Professional Time: All time spent by the Contractor in collection activities (drafting demands, preparing filings) shall be billed at the Professional Rate ($249.99/hour).
8. Liability & Indemnification:
Equipment: The Facility is responsible for providing a safe clinical environment and assumes liability for any damage to the Contractor’s surgical equipment caused by staff or environmental negligence.
Indemnity: The Facility agrees to indemnify and hold the Contractor harmless against all claims arising from the Facility's premises or operations.
9. Dispute Resolution:
Arbitration: Any claim shall be settled by binding arbitration in Dallas County, Texas.
Small Claims: Notwithstanding the above, either party may bring an individual action in Justice of the Peace (Small Claims) Court for disputes within that court’s jurisdiction.
